Sign your Client Agreement
Read this, then sign at the bottom. It takes about three minutes.
This Agreement is between Vendly ("Vendly", "we", "us") and the business signing below ("Client", "you"). It covers the website, hosting and Care, and any add-ons (social, Google Business Profile management, or similar) named on your Order Form or the plan you selected.
The full published Terms of Service - payment, cancellation, ownership of what we build for you, and what happens if an invoice goes unpaid - are posted at vendly.ink/policies/terms-of-service and are incorporated into this Agreement by reference. Read them before you sign. This page adds a few things that page does not cover.
1. Who owns what
You own the store. Your website runs on a Shopify store in your name, on your Shopify billing. You own your domain name too - Vendly may help point it at your site, but we never hold your domain as a lever.
Vendly stays on as a Collaborator so we can do the Care work you are paying for - ongoing collaborator-level access to your Shopify store (through Shopify's own Partner collaborator system) and/or a scoped Theme Access credential. This is separate from ownership and separate from your Shopify bill. You can revoke it any time from your own Shopify admin (Settings, Users and permissions), which also ends our ability to do Care work until it is restored.
2. Google Business Profile
If your plan includes Vendly managing your Google Business Profile, you agree to add Vendly as a Manager (not Owner) on that listing, from your own Google account, at Business Profile settings, People and access. A Manager can post and respond to reviews but cannot remove you or delete the listing, and you can remove this access any time from that same screen.
3. Billing
Your plan and price are set on your Order Form / checkout. Recurring plans bill automatically in advance, monthly, until you cancel with 30 days' notice per the Terms of Service. An invoice more than 15 days past due may lead Vendly to suspend services, including the managed website, per the Terms of Service.
4. Signing this electronically
By typing your name below and checking the box, you are signing electronically. You agree your electronic signature is the legal equivalent of a handwritten one, and you consent to conducting this transaction electronically under the U.S. E-SIGN Act and applicable state law.
